Terms of Service

These terms govern your use of the EasyExchange website and platform, operated by CommonSky Group Inc., a Delaware corporation ("CommonSky," "we," "us"). By creating an account or using EasyExchange, you agree to these terms. If you are using EasyExchange on behalf of a school or district, you confirm that you have the authority to accept these terms for it.

Where a school or district has a separate written agreement with us, that agreement controls if it conflicts with these terms.

1. Who may use EasyExchange

Teachers must be current educators at a school and must register with a school-affiliated email address. We verify accounts before activating them and may decline or remove any account we cannot verify.

Students may use EasyExchange only after being added by a verified teacher, through a class link or code. Students may not create accounts on their own. EasyExchange is intended for high school students. Students under 13 are not permitted.

Schools are responsible for ensuring they have the authority and any required consents (including parental consent where local law requires it) before adding students.

2. Your account

You are responsible for keeping your login credentials confidential and for all activity under your account. Tell us right away at hello@easy-exchange.app if you believe your account has been accessed without permission.

Teachers are responsible for the classes they create, the students they enroll, and the exchanges they run.

3. Acceptable use

EasyExchange exists for structured, teacher-led classroom exchange. You agree not to:

• Post content that is harassing, hateful, threatening, sexually explicit, or otherwise inappropriate for a classroom
• Attempt to contact users outside your assigned exchange, or share students' information outside the platform without authorization
• Impersonate another person or misrepresent your affiliation with a school
• Upload malware, scrape the platform, or interfere with its operation
• Use EasyExchange for advertising, recruitment, or any commercial purpose unrelated to education
• Use the platform in violation of any law or your school's policies

Teachers may remove content and students from their classes at any time. We may remove content or suspend accounts that violate these terms, and we will inform the affected teacher or school where appropriate.

4. Content

Your content. You keep ownership of what you create on EasyExchange, including task templates, prompts, messages, and recordings. By posting content, you give CommonSky a limited license to store, display, and transmit it as needed to provide the service. This license ends when the content is deleted, except as needed for backups and legal compliance.

Shared templates. If a teacher chooses to share a task template with the EasyExchange educator community, other verified teachers may use and adapt it for their own classes. Teachers can withdraw a template from sharing at any time, though copies already adapted by others remain in use.

Student content. Student messages and recordings are visible only within the exchange in which they were posted, to the participating students and teachers. Schools retain ownership of student education records as described in our Privacy Policy.

Our content. The EasyExchange platform, name, logo, design, and any templates we create are owned by CommonSky and protected by intellectual property law. You may not copy, modify, or redistribute them except as the service allows.

5. Privacy

Our Privacy Policy explains how we collect, use, and protect information. It is part of these terms. In short: we do not sell personal data, we do not advertise to students, and teachers control everything that happens in their classes.

6. Pilot program

EasyExchange is currently offered as a pilot to selected partner schools. During the pilot:

• The service is provided free of charge.
• Features may change, be added, or be removed as we learn from pilot partners.
• We may ask pilot teachers for feedback, and we may use aggregated, de-identified findings from the pilot to improve and describe the service. We will not identify a school, teacher, or student publicly without written permission.
• We will give pilot partners at least 30 days' notice before ending the pilot or introducing fees.

7. Availability and changes

We work to keep EasyExchange available and reliable, but we do not guarantee uninterrupted service. We may modify or discontinue features with reasonable notice. If we discontinue the service entirely, we will give schools at least 60 days' notice and an opportunity to export their data.

8. Termination

You may close your account at any time by contacting us. We may suspend or terminate accounts that violate these terms, that we cannot verify, or where required by law. On termination, we handle your data as described in the Privacy Policy.

9. Disclaimers

EasyExchange is provided "as is" and "as available." To the extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose. We do not guarantee any particular educational outcome, and we are not responsible for the content posted by users or for the conduct of any partner classroom.

10. Limitation of liability

To the extent permitted by law, CommonSky will not be liable for indirect, incidental, special, or consequential damages arising from your use of EasyExchange. Our total liability for any claim relating to the service will not exceed the amount you paid us in the twelve months before the claim, or one hundred U.S. dollars if you paid nothing.

Nothing in these terms limits liability that cannot be limited under applicable law, including liability to schools under a separate written agreement.

11. Governing law and disputes

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction, except that schools and users in the European Union retain any rights to bring claims in their home jurisdiction under applicable law.

12. Changes to these terms

We may update these terms from time to time. We will post the updated version with a new effective date and notify registered teachers and schools by email at least 30 days before material changes take effect. Continued use after the effective date means you accept the updated terms.
